1. Introduction

Welcome to ANGELS (“the Platform”, “we”, “us”, or “our”).

These Terms of Use (“Terms”) govern your access to and use of the Platform.

The Platform is a social video network that enables users to upload, share, discover, edit, combine, and create video content with other users.

By creating an account, accessing, or using the Platform, you agree to these Terms.

If you do not agree with these Terms, you may not use the Platform.

We may update these Terms from time to time. Any updated version will be published on the Platform with a revised “Last Updated” date. Your continued use of the Platform after updates are published constitutes acceptance of the updated Terms.

2. The Platform

The Platform enables users to:

  • Upload videos.
  • Share videos.
  • Discover content from other users.
  • Create collaborative videos.
  • Combine content from multiple users.
  • Interact with other creators.

The Platform is designed to encourage interaction between users, including interactions between users who may not know each other.

3. Public Social Network Notice

You acknowledge that the Platform is a public social network.

Any content you upload may become available to other users.

Before uploading content, you should consider that:

  • Other users may view your content.
  • Other users may share your content.
  • Other users may save your content.
  • Other users may download your content where available.
  • Your content may become part of collaborative videos.

You are responsible for deciding what content you choose to upload.

4. Ownership of Your Content

You retain ownership of the intellectual property rights in the original content that you upload.

However, by uploading content to the Platform, you grant ANGELS and authorized users of the Platform a worldwide, non-exclusive, royalty-free license to use your content for the operation and functionality of the Platform.

This license allows us to:

  • Store your content.
  • Display your content.
  • Reproduce your content.
  • Stream your content.
  • Process your content.
  • Make your content available to users.
  • Enable sharing and collaboration features.
  • Create collaborative video experiences.

This license exists only for purposes connected to operating, improving, promoting, and providing Platform features.

5. Collaborative Videos and User-Created Content

A central feature of the Platform is enabling users to create videos together.

By uploading content, you acknowledge and agree that your content may be:

  • Combined with content from other users.
  • Edited.
  • Remixed.
  • Rearranged.
  • Included in compilations.
  • Included in collaborative videos.
  • Used as part of new creations generated through Platform features.

You understand that the final collaborative video may be significantly different from your original upload.

You acknowledge that you may not control:

  • How your content is edited.
  • Which content is combined with your content.
  • The final appearance of collaborative videos.

6. Username Attribution

Your username may appear:

  • On your uploaded videos.
  • In connection with collaborative videos.
  • Alongside content created using your uploaded material.

You acknowledge that attribution may remain associated with collaborative content created before deletion of your original content.

7. Content Deletion

You may delete videos that you personally uploaded through available Platform features.

Deleting your original video may remove it from your profile and future availability where technically possible.

However, if your content has already been used to create:

  • Collaborative videos.
  • Remixes.
  • Compilations.
  • Other user-generated creations.

those creations may continue to exist.

Deleting your original upload does not require the removal of:

  • Collaborative videos created before deletion.
  • Copies downloaded by other users.
  • Content shared outside the Platform.
  • Other lawful uses made before deletion.

The Platform cannot control copies that other users have already obtained.

8. User Responsibility for Content

You are solely responsible for content that you upload.

By uploading content, you confirm that:

  • You own the content or have permission to use it.
  • Your upload does not violate copyright.
  • Your upload does not violate privacy rights.
  • Your upload does not violate applicable laws.

You are responsible for obtaining any required permissions from individuals appearing in your content.

9. Prohibited Content

Users may not upload, create, or distribute content that:

  • Violates any law.
  • Infringes intellectual property rights.
  • Contains illegal activities.
  • Promotes violence or threats.
  • Contains hate speech or discrimination.
  • Contains sexual exploitation or illegal sexual content.
  • Impersonates another person.
  • Contains malicious or harmful material.
  • Attempts to manipulate or abuse the Platform.

We reserve the right to remove content or restrict accounts that violate these Terms.

10. User-Generated Content Disclaimer

The Platform contains user-generated content.

We do not create, approve, verify, or endorse all content uploaded by users.

Opinions, statements, videos, and other materials belong solely to the users who created them.

We are not responsible for:

  • User opinions.
  • User behavior.
  • User-generated videos.
  • Collaborative videos.
  • Edits created by users.
  • Use of content by users.

11. Third-Party Use of Content

You understand that once content becomes available through the Platform, other users may interact with it.

We are not responsible for actions taken by users who:

  • Save content.
  • Share content.
  • Edit content.
  • Combine content.
  • Create derivative works through Platform features.

12. Content Moderation

We may, but are not obligated to:

  • Review content.
  • Remove content.
  • Restrict visibility.
  • Suspend accounts.
  • Terminate accounts.

We may take action when we believe content violates these Terms, applicable law, or harms the Platform or its users.

13. Account Suspension and Termination

We may suspend or terminate accounts that:

  • Violate these Terms.
  • Abuse the Platform.
  • Harm other users.
  • Attempt fraud or misuse services.

Users may request account deletion according to our Account Deletion Policy.

14. No Guarantee of Availability

We aim to provide a reliable service, but we do not guarantee that:

  • The Platform will always operate without interruption.
  • Content will never be lost.
  • All features will always be available.

The Platform may be updated, modified, suspended, or discontinued.

15. Limitation of Liability

To the maximum extent permitted by law, SPLACEZ is not responsible for:

  • Content uploaded by users.
  • Actions of other users.
  • Sharing or downloading of content.
  • Collaborative videos.
  • User-created content.
  • Loss resulting from user interactions.

Users use the Platform at their own risk.

16. Indemnification

You agree to protect and compensate SPLACEZ from claims, damages, losses, or expenses resulting from:

  • Your content.
  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of another person’s rights.

17. Changes to These Terms

We may update these Terms periodically.

Changes may occur due to:

  • New features.
  • Business changes.
  • Legal requirements.
  • Security improvements.

The updated Terms become effective when published.

Your continued use of the Platform means you accept the updated Terms.
